July 11, 2009 - Taylor English Duma LLP announced today that it successfully represented a client in the acquisition of a private Atlanta-based golf and country club. The acquisition included assumption of an $8.1 million senior note and mortgage, as well as converting several junior notes and mortgages on the property to equity in the new club.
“This acquisition also included a Series A and B private placement capital raise,” explains attorney Mike Sullivan of the Taylor English Business Transactions, Corporate & Taxation Practice Group. “The purchaser has retained a regional golf club management firm to manage its club house, golf, tennis and pool activities.”
Along with attorney Marc Taylor, Sullivan led the Taylor English transaction team for the golf and country club. Mark Moeller of the Taylor English Real Estate, Development & Construction Practice Group managed refinancing the notes and mortgages, and Jonathan B. Wilson from the Taylor English Business Transactions, Corporate & Taxation Practice Group managed the private placement.
“Closing this transaction was a major achievement for this dedicated group of attorneys,” Sullivan says. “As a transaction attorney, it’s extremely gratifying to be part of a team effort that successfully accomplishes the client’s objectives.”
